Summary of the SEBI Circular dated 25/05/2023

SEBI Issues Model Tripartite Agreement under Regulation 7(4) of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015.
In case of any change or appointment of a new Share transfer agent, the listed entity shall enter into a tripartite agreement between the existing share transfer agent, the new share transfer agent and the company itself. In this regard, SEBI has prescribed a model Tripartite agreement in consultation with Registrar Association of India (RAIN) and some issuer Companies for the benefit of stakeholders. The model format of the agreement has been attached to the circular.
SEBI has advised RTAs & listed Companies to publish the format of the tripartite agreement on their respective websites and submit compliance of the same to SEBI vide email at rta@sebi.gov.in by June 01, 2023 along with the link of their website containing the format of tripartite agreement.
